Cruz Bay Acquires Assets of Sabot Publishing

Cruz Bay Publishing, Inc., today announced the acquisition of the assets of Richmond, Va.- based Sabot Publishing, Inc., publisher since 1999 of leading special interest publications including Black Belt, Vegetarian Times, Better Nutrition, Southwest Art, Log Home Design Ideas, and the Garlinghouse Company, publisher and supplier of home plan magazines and home plans.

Cruz Bay Publishing, a subsidiary of newly created Active Interest Media (AIM), is headed by Efrem "Skip" Zimbalist III, former Chief Executive Officer of Times Mirror Magazines from 1995 to 2000. "After looking at a number of different options in the publishing industry, we concluded that Sabot provided the right platform on which to build a highly valuable enthusiast publishing and information business," said Mr. Zimbalist. "James Causey and his management group have put together a terrific group of magazines, and I look forward to building on the solid foundation they have created."

Equity funding for the new venture is being provided by Wind Point Partners, a private equity investment company with offices in Chicago, IL, and Southfield, MI. Wind Point has committed $40 million of equity capital for the launch of AIM. That capital will support both organic growth and growth resulting from an aggressive acquisition strategy. Cruz Bay plans to strengthen the company's titles, brands and market shares in the industries in which they currently reside: Healthy Lifestyles (Vegetarian Times and Better Nutrition magazines), Enthusiast Sports (Black Belt magazine), and Art & Home (Southwest Art, Log Home Design Ideas and the Garlinghouse Company).

Mr. Zimbalist stated, "With Wind Point's support, Cruz Bay has purchasing power of $90 million. With this backing, I intend to build Cruz Bay into a highly valuable specialty publishing and information business." "It is an excellent time to be an investor in this media segment," said James P.
